The Students for the Exploration and Development of Space, USA (SEDS)  is holding elections for its Board of Directors during its annual national conference SpaceVision. SpaceVision is being held at University of North Carolina Chapel Hill from October 30th, – November 2nd, 2014.

To be eligible to hold a national position you must be a student member of a SEDS chapter in good standing ( If you are not sure if your chapter is in good standing please email elections@seds.org ) Also your chapter must pay dues by October 24th, 2014. Please contact Treasurer Audrey Horne at finance@seds.org for further details.

Election Procedures and Important Dates

  • October 17th - Candidate Platform & Resume Deadline For those interested in running for a position you must submit a platform and a current version of your resume no later than Friday, October 17th, 2014.  All documentation and questions must be submitted to elections@seds.org.  They will be posted online on seds.org for chapters to review prior to SpaceVision. Platforms and Resumes will be posted on seds.org and in the SEDS COC Facebook Group as they are received. It is to your advantage to submit these earlier than is required by the deadline.

October 30th – November 2nd – National SEDS Conference

For the week between the Candidate Platform Deadline and the national conference SEDS members will be able to review the platforms on http://www.seds.org and ask the candidates questions regarding their goals. Candidates will be voted upon at the national conference. Each chapter in good standing will receive one vote for each office. If your chapter is not sending any members to SpaceVision 2014. Please request an absentee ballot from elections@seds.org.

Installation of New Officers

Elected candidates will be installed one week from the certification of the election on Sunday 11/09/14. The current Board of Directors will help bring the incoming Directors up to speed with current projects and the functions of their positions.

Roles and Responsibilities of SEDS USA Board Members

Chair

The Chair presides over the Board of Directors and oversees the decision-making and electoral processes. The Chair is responsible for ensuring the continuous communication among Board members, chapter representatives, chapters, advisers, alumni, and outside organizations. The Chair and the Executive Director serve as the chief representatives of SEDS at official functions. In the event a situation arises where an immediate decision is necessary, the Chair may make the decision on behalf of the Board, but must report all such decisions at the next regularly scheduled Board meeting, where the Board may overturn such decisions as they see fit.

Position Requirements:

  • This individual holds top line accountability for the success of the organization during their term. Must be a strong motivational leader that wants to see SEDS USA and SEDS students succeed and grow.

  • Responsible for oversight of SEDS USA Board Members, the Executive Director and Volunteer Staff.

  • Primary person responsible for SEDS USA business development and building ties within the Space Community for the benefit and growth of SEDS.

  • Maintains oversight and accountability on organizational projects  for SEDS USA.

  • An interest and ability to speak to sometimes tangential organizations or interest groups and determine if appropriate partnership opportunities exist

  • Should be available to travel to major industry conferences over the course of the term.

  • Be open and willing to engage audiences in public speaking scenarios ranging from 20 – 3000+ People.

  • Familiarity with SEDS partners (Natl Space Society, Space Frontier Foundation, Planetary Society, etc)

  • Experience writing Memorandum of Understanding, Cooperative Marketing Agreements, project reports and updates, and conducting fundraising campaigns a plus!

  • Serves as a legal officer of SEDS USA in all financial and legal matters.

  • Must be independently motivated and goal oriented. This individual must also conduct business with integrity and in a timely manner

Vice-Chair

The Vice-Chair acts as the Alumni Liaison and the Board of Trustees Liaison. In the event that the Chair resigns or is removed from office, the Vice-Chair will assume the Chair’s position, and an “unscheduled” election for a new Vice-Chair shall commence. The Vice Chair is responsible for oversight of all SEDS-USA fundraising activities.

Position Requirements:

  • Focused on building a team of highly motivated students and professionals that can raise tens of thousands of dollars through grants, donations, and corporate sponsorships to support SEDS USA projects and conferences.

  • Must be able to plan and implement strategy for the SEDS USA Endowment Fundraising Campaign and other major organizational fundraising activities.

  • Responsible for engaging the SEDS Board of Trustee’s and the SEDS Board of Advisors to benefit SEDS projects, fundraising, and conferences.

  • Must be available to travel to major industry conferences over the course of the term.

  • Familiarity with SEDS partners (National Space Society, Space Frontier Foundation, Planetary Society, etc)

  • Must be independently motivated and goal oriented. This individual must also conduct business with integrity and in a timely manner

Treasurer

The Treasurer is responsible for the oversight of all financial and tax matters of SEDS-USA. Explicitly the Treasurer monitors all expenditures of the Board Members and Staff and notifies the Chairs when any chapter becomes delinquent in paying dues, and is directly responsible for overseeing the proper filing of all tax related paperwork, and maintains the tax status of SEDS-USA. The Treasurer must make monthly reports to the Board of Directors regarding the financial status of SEDS, including a list of all disbursements made and funds received. The Treasurer must keep in contact throughout his or her tenure with SEDS-USA’s legal counsel to make sure they are updated about all needed financial and legal matters. The Treasurer is also responsible for oversight of any SEDS-USA activity which impacts its tax status. It is important to note this is not a fundraising driven position.

Position Requirements:

  • Responsible for maintaining the SEDS USA finances. This includes the maintenance of accounting records, oversight of the organizational budget, interacting with financial institutions and the filing of the IRS 990 form.

  • Must be familiar with  double entry accounting, 501(c)3 tax status, and appropriate GAAP & FASB standards.

  • Motivated to seek out the services of an independent CPA to provide comptroller services to SEDS USA.

  • Motivated to ensure SEDS meets financial objectives in order to be successful in filing for the Combined Federal Campaign in early 2016.

  • The pursuit of an Accounting, Finance, or Economics degree is highly recommended though not required.

  • Work with appropriate staff members to ensure the execution and compliance with the SEDS Internal Financial Controls.

  • Experience writing Memorandum of Understanding, Cooperative Marketing Agreements, project reports and updates, and conducting fundraising campaigns a plus!

  • Serves as a legal officer of SEDS USA in all financial and legal matters.

  • Must be independently motivated and goal oriented. This individual must also conduct business with integrity and in a timely manner

Chair of the Council of Chapters (Chief Representative)

The Chair of the Council of Chapters (CoC Chair) is responsible for working with all of the chapters through their chapter representatives. The CoC Chair is in charge of organizing all Council of Chapters meetings and votes. The CoC Chair is also responsible for answering and supporting all requests by individual chapters for information or help. CoC Chair is charged with the task of informing the Board of Directors about special concerns brought to his/her attention by the chapters. The CoC Chair is furthermore tasked with coordinating with the Executive Director to oversee any staff designated to support Chapter Affairs.

Position Requirements:

  • Primary person in SEDS-USA responsible for chapter engagement and retention. Runs the Council of Chapters and is responsible for conducting regularly scheduled COC meetings.

  • Works with a the Chapter Affairs Manager to maintain chapter information for organizational use.

  • Motivated to improve chapter engagement in the Council of Chapters by continuing to develop the format of the online format of the COC.

  • Works with the Chapter Expansion Manager to seek out and recruit new chapters.

  • Familiarity with SEDS chapter across the country is a plus.

  • Must be independently motivated and goal oriented. This individual must also conduct business with integrity and in a timely manner

Secretary

The Secretary is in charge of taking written minutes, notes and audio or visual notes at all SEDS-USA meetings and recording them for permanent record. This includes all meetings of the Board of Directors, all meetings of the Council of Chapters, and any other meetings designated by the Board of Directors or its committee. These shall be recorded in easily accessible electronic format for review

by the Board of Directors and others and for future use. The secretary will have the secondary responsibility of assisting the other board members in their projects in any way possible. The Secretary will also be responsible for maintaining a file of all current records within the organization. The Secretary will specifically work with the Director of Finance to assure proper documentation of records for long term retention.

Position Requirements:

  • Responsible for maintaining all official records of SEDS-USA for legal purposes.

  • Ensures compliance with the SEDS-USA records retention policy.

  • Serves as a legal officer of SEDS-USA in all financial and legal matters.

  • Must be independently motivated and goal oriented. This individual must also conduct business with integrity and in a timely manner

At Large Board Members (2 Positions)

At large Board members are responsible for promoting SEDS-USA, participating in activities of the organization, assisting with fundraising efforts lead by the Vice Chair, being actively engaged with the strategic planning process of SEDS-USA, serving as a Board Liaison on any committee assigned, and serving as oversight on the SEDS-USA organization as part of their Board role. Their role on the SEDS-USA Board of Directors is fairly flexible. They assist board members and staff members in achieving individual  project milestones to achieve organizational strategic goals.

Position Requirements:

  • Develops new strategic projects for SEDS USA to better engages chapters and students across the country.

  • Manages and contributes to existing SEDS USA strategic projects.

  • Assists with SEDS USA  fundraising campaigns and business development.

  • Must be independently motivated and goal oriented. This individual must also conduct business with integrity and in a timely manner
